Terms of Service.
The rules of the road for using Maintoro. We’ve tried to keep these readable — but where lawyers inevitably win out, we summarize each section in one sentence at the top.
1 · Agreement to terms
These Terms of Service (the "Terms") constitute a binding legal agreement between you and Maintoro OÜ (Estonia, registry code 16735423) governing your access to and use of the Maintoro web and mobile applications (the "Service").
If you do not agree with these Terms, do not register for or use the Service. If you accept these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2 · The Service
Maintoro is a cloud-based Computerized Maintenance Management System (CMMS) that helps maintenance teams manage work orders, preventive maintenance schedules, assets, parts inventory, and related workflows. We provide the Service "as a service" — you don’t host it, install it, or run servers.
Specific features available to you depend on the plan you have subscribed to. We may add, change, improve, or discontinue features at any time without notice — but we will not remove features materially central to a paid plan during your current billing period without offering a refund.
3 · Accounts & registration
To use the Service, you must register an account with a valid email address. You must be at least 16 years old. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information as needed
- Keep your password secure — we recommend enabling two-factor authentication
- Promptly notify us of any unauthorized access
- Not share your account credentials or allow another person to use your account
You are responsible for all activity that occurs under your account. Organization admins are responsible for managing user access within their organization.
4 · Subscription & payment
Paid plans are billed in advance on a monthly or annual basis. By providing payment information, you authorize us (and our payment processor Stripe) to charge the applicable fees plus any applicable taxes.
- Renewals: Your subscription auto-renews at the end of each billing period unless cancelled before the renewal date
- Refunds: Annual plans are eligible for prorated refunds within 30 days of purchase. Monthly plans are not refundable
- Price changes: We may change prices with at least 30 days’ notice. New prices apply to your next billing period
- Failed payments: If a payment fails, we will retry for up to 14 days. After that, your account may be downgraded to read-only or suspended
- Taxes: Prices are listed exclusive of VAT or sales tax, which is added based on your billing location
5 · Free plan
The Free plan is available indefinitely for organizations with 2 or fewer users and within the listed feature limits (50 assets, 100 work orders per month, 5 PMs, 1 location). It is provided "as is" without paid-tier guarantees on uptime or support response. We may modify Free plan limits with reasonable notice.
6 · Trials
We may offer a free trial of paid features (typically 14 days). At the end of the trial, your account automatically reverts to the Free plan unless you provide payment information. We will never charge you without your explicit consent during a trial.
7 · Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party rights
- Send spam, phishing, or unsolicited bulk communications
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Interfere with or disrupt the Service (e.g. denial-of-service attacks, scraping at scale)
- Reverse-engineer, decompile, or attempt to extract our source code, except as expressly permitted by law
- Resell, sublicense, or use the Service to build a competing product
- Store or process highly sensitive personal data (e.g. children’s data, health records, payment card data) without prior written agreement and an appropriate DPA
We may suspend or terminate your access for violations, with or without notice, depending on severity.
8 · Your content
You retain all rights, title, and interest in the data you upload to the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, transmit, process, and display Your Content solely for the purpose of operating and improving the Service for you.
You are responsible for ensuring you have the right to upload Your Content and that it complies with applicable law. You can export Your Content at any time in JSON or CSV format from the application.
9 · Intellectual property
The Service, including all software, design, branding, documentation, and trademarks, is the property of Maintoro OÜ and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for the duration of your subscription.
You may use the Maintoro name and logo solely to identify Maintoro as a service you use. You may not modify our branding or imply endorsement without our prior written permission.
10 · Termination
You may cancel your subscription at any time from your account billing settings. Your access will continue through the end of your current billing period. After cancellation, your account is retained for 60 days for restoration, then permanently deleted.
We may terminate or suspend your account if you breach these Terms, if your payment is overdue for more than 30 days, or as required by law. We will provide reasonable notice and an opportunity to remedy where possible.
Upon termination, your right to use the Service ends. We will make Your Content available for export for at least 30 days after termination.
11 · Warranty disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, although we work hard to keep it that way.
For paid plans, we provide a target uptime of 99.9%. Service credits may be available for missed uptime targets per our SLA available on request.
12 · Limitation of liability
To the maximum extent permitted by law, in no event shall Maintoro be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Our total aggregate liability for any claim relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) €100.
13 · Indemnification
You agree to indemnify and hold harmless Maintoro, its affiliates, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or any law.
14 · Governing law & jurisdiction
These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Tallinn, Estonia. For EU consumers, this does not affect any mandatory rights you have under the law of your country of residence.

15 · Changes to these Terms
We may update these Terms from time to time. For material changes affecting your rights or obligations, we will notify you at least 30 days in advance via email and in-product notice. Continued use of the Service after the changes take effect constitutes acceptance.
